If you do not agree with any part of these terms, you may not access the service. These Terms apply to all visitors, users, and others who access or use the Service.

Projexlight is a comprehensive AI-powered software development platform that provides:

• AI-powered project ideation and planning tools
• Multi-model code generation (OpenAI, Claude, Gemini, DeepSeek, and others)
• Automated testing suite with Playwright and BDD support
• Docker container-based test execution
• CI/CD integration and multi-cloud deployment (AWS, Azure, GCP)
• Team collaboration and project management tools
• Defect tracking and analytics
• Schema design and code sharing capabilities

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept all responsibility for activities that occur under your account
• Notify us immediately of any unauthorized access or security breach

You are responsible for maintaining the confidentiality of your account credentials. We reserve the right to terminate accounts that provide false information or violate these Terms.

You agree NOT to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Generate, transmit, or store malicious code or malware
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to mine cryptocurrency or perform unauthorized computations
• Attempt to gain unauthorized access to systems or networks
• Interfere with or disrupt the Service or servers
• Use automated systems to access the Service without permission
• Resell or redistribute the Service without authorization
• Generate content that infringes on intellectual property rights
• Use the Service for any illegal or fraudulent purposes

Free Tier:

• Limited to 3 projects and 1,000 AI tokens per month
• No credit card required
• Subject to fair use policies

Pay-As-You-Go:

• Billed monthly based on actual usage
• Charges include: AI tokens, Docker container hours, and storage
• You can set monthly spending limits
• Payment is due within 15 days of invoice date
• Late payments may result in service suspension

Enterprise:

• Custom pricing based on volume and requirements
• Annual contracts available with discounts
• Invoicing options available

All fees are in U.S. Dollars and are non-refundable except as required by law. We reserve the right to change our fees with 30 days' notice.

Your Content:

You retain all ownership rights to the code, schemas, projects, and content you create using the Service ("Your Content"). By using the Service, you grant us a limited license to host, store, and process Your Content solely to provide the Service to you.

Generated Code:

Code generated by AI models through our Service is provided "as-is" and you are responsible for reviewing, testing, and ensuring it meets your requirements. You own the rights to generated code, subject to any licenses of the underlying AI models.

Our Property:

The Service, including its software, features, functionality, and visual design, is owned by Projexlight and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or create derivative works of the Service.

Your use of the Service is also governed by our Privacy Policy. Key points include:

• We collect and process data necessary to provide the Service
• Your project data is stored securely with encryption
• We do not sell your personal information to third parties
• AI model providers may process your prompts to generate code
• You can export and delete your data at any time

We implement industry-standard security measures, but no method of transmission or storage is 100% secure. You use the Service at your own risk.

The Service integrates with third-party AI model providers (OpenAI, Anthropic, Google, DeepSeek, etc.) and cloud platforms (AWS, Azure, GCP). Your use of these services through our platform is subject to their respective terms of service and privacy policies.

We are not responsible for the availability, accuracy, or quality of third-party services. Any disputes with third-party providers are between you and the provider.

We strive to provide 99.9% uptime for the Service, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable for:

• Scheduled maintenance (with advance notice)
• Emergency maintenance or security patches
• Third-party service outages
• Events beyond our reasonable control

Enterprise customers receive priority support with defined SLAs. Free and Pay-As-You-Go users receive community and email support with best-effort response times.

By You:

You may terminate your account at any time through your account settings. Upon termination, you will still have access to the Service until the end of your current billing period.

By Us:

We may suspend or terminate your access to the Service immediately if you:

• Violate these Terms
• Fail to pay outstanding fees
• Engage in fraudulent or illegal activities
• Abuse or misuse the Service

Data Retention:

After termination, we will retain your data for 30 days to allow for potential reactivation. After 30 days, your data will be permanently deleted unless legally required to retain it.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We specifically disclaim warranties of:

• Merchantability and fitness for a particular purpose
• Non-infringement of third-party rights
• Accuracy, reliability, or quality of AI-generated code
• Uninterrupted or error-free service
• Security of data transmission or storage

You are solely responsible for reviewing, testing, and validating all code generated through the Service before deployment to production environments.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROJEXLIGHT SHALL NOT BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions or security breaches
• Errors in AI-generated code or project recommendations
• Third-party actions or service failures

Our total liability for any claims related to the Service is limited to the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

Some jurisdictions do not allow limitations on implied warranties or liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

You agree to indemnify, defend, and hold harmless Projexlight, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your generated code or applications deployed to production
• Any fraudulent or illegal activities conducted through your account

Informal Resolution:

If you have any dispute with us, you agree to first contact us at support@projexlight.com to attempt to resolve the dispute informally. We commit to working with you in good faith.

Binding Arbitration:

If we cannot resolve the dispute informally within 60 days, any remaining disputes will be resolved through binding arbitration in accordance with the American Arbitration Association's rules, rather than in court.

Class Action Waiver:

You agree to resolve disputes with us on an individual basis and waive the right to participate in class actions, class arbitrations, or representative actions.

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

For any disputes not subject to arbitration, you agree to submit to the personal and exclusive jurisdiction of the courts located in Delaware.

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on our website
• Sending an email to your registered email address
• Displaying a prominent notice in the Service

Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service and terminate your account.

Entire Agreement:

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Projexlight regarding the Service.

Severability:

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver:

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment:

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.

Force Majeure:

We will not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, pandemics, or failures of third-party service providers.
